Forming an LLC in West Virginia costs $100 to file the Articles of Organization with the West Virginia Secretary of State. After that you file an annual report of $25. West Virginia charges no franchise tax on a standard LLC. Articles of Organization for a domestic LLC cost $100 (foreign LLC $150). How is an LLC taxed in West Virginia?
By default, an LLC is a pass-through entity: it pays no income tax itself, and the profits flow to the owners' personal returns. West Virginia has a state individual income tax with a top rate of 4.58% (graduated brackets), so those profits are taxed on your West Virginia return on top of federal tax. Effective June 12, 2026, a 5% across-the-board tax cut applied (retroactive to January 1, 2026, under SB 392). 2026 brackets: 2.11% (up to $10,000), 2.81% ($10,000-$25,000), 3.16% ($25,000-$40,000), 4.22% ($40,000-$60,000), 4.58% (over $60,000). A statutory trigger mechanism (W. Va. Code 11-21-4e) allows further rate cuts of 10% of current rates when general revenue collections exceed baseline projections by more than $50 million for two consecutive years.
An LLC can also elect to be taxed as an S-corp, which changes how owners pay self-employment tax. See LLC vs S-corp vs sole proprietorship and how self-employment tax works.
